Terms and Conditions

These Terms and Conditions (the “Terms”) govern your use of the NuovaLingua website and app (the “Platform”) and the contracts you enter into with us. By accepting them at registration you confirm that you have read, understood and fully accepted them.

1. Who we are

The Platform is operated by Patryk Lewczuk Nuovalingua, a sole proprietorship registered in Poland (CEIDG), NIP 6772545398, with registered address at al. 3 Maja, 30-062 Kraków (“NuovaLingua”, “we”). Contact: patryk.lewczuk@nuovalingua.com, tel. +48 789 818 641.

2. Definitions

• User: anyone who registers and uses the Platform; may be a Student or a Teacher.
• Student: a User who books lessons and/or subscribes to content plans.
• Teacher (Tutor): a User approved by NuovaLingua who delivers the lessons.
• Study Plan: a monthly subscription to learning content and AI features (Base, Plus, Premium).
• Lesson Subscription: a monthly subscription to a number of lessons with a specific Teacher.
• Credits: paid, not-yet-taken lessons associated with a given Teacher.

3. Requirements and registration

The Platform is for people aged 18 or over; we verify this at registration. You must provide true, up-to-date information and keep your credentials confidential: you are responsible for activity on your account and must notify us of any suspected unauthorised use. An account is personal and non-transferable.

4. Nature of the service and roles

NuovaLingua provides access to learning content and AI tools (Study Plan) and a service that connects Students and Teachers for one-to-one video lessons. For lessons, NuovaLingua acts as a technical and payment intermediary and provides the tools (calendar, virtual classroom, analysis): the teaching is delivered by the Teacher. We vet Teachers before approval but do not guarantee any specific learning outcome.

5. Study Plan (content subscription)

The Study Plan has three levels:

• Base: free. Access to a sample of content (some introductory cards and readings).
• Plus: 34.99 zł / €7.99 per month. All materials, exercises and games, the conversational AI assistant and lesson analysis.
• Premium: 59.99 zł / €13.99 per month. Everything in Plus plus AI generation of tailored materials and readings.

The Study Plan is an automatically renewing monthly subscription: unless cancelled it renews each month, charging your saved payment method. You may upgrade or downgrade at any time (with proration by the payment provider) and cancel at any time: cancellation takes effect at the end of the month already paid, after which the account returns to Base. No refund for the current period (sections 10 and 11).

6. Lessons and Lesson Subscription

Trial lesson: each Student is entitled to one free trial lesson (reduced duration), usable only once ever and only with a Teacher they have never had a lesson with.

Lesson Subscription: the Student chooses a number of lessons per month (minimum 4) with a specific Teacher. The amount is the Teacher’s rate times the number of lessons, plus the platform service fee (section 8). It renews automatically each month.

Additional lessons: during the month the Student may buy extra lessons with the same Teacher as an immediate one-off payment. Unless the Student indicates otherwise, the new total (base + extra) becomes the default quantity for the next month.

Changing the quantity: the Student may increase or decrease the monthly lessons at any time; the change takes effect from the next renewal cycle, while the current month is unchanged.

Validity and expiry of Credits (key clause): Credits are valid until the monthly renewal date. At renewal, unused Credits from the previous cycle expire and are not carried over: the Student receives a new bundle equal to the subscription quantity. If cancelled, Credits remain usable until the end of the paid month, then expire. Expired Credits give no right to a refund. By accepting these Terms you expressly accept this expiry clause.

Credits are tied to the Teacher they were bought with and are not transferable to other Teachers, except for any transfer procedure managed by NuovaLingua if the Teacher becomes unavailable. Lessons take place by video in the Platform’s classroom; Student and Teacher must be punctual and respectful. A lesson may be cancelled or rescheduled according to the notice shown on the Teacher’s profile: if cancelled in time the Credit returns to the balance (within its validity); a no-show or late cancellation may forfeit the Credit.

7. Audio recording and lesson analysis

To provide lesson analysis (included in Plus and Premium), lesson audio may be transcribed and processed with automated and AI tools. Analysis happens only with your consent and can be turned off; the related data processing is described in the Privacy Policy. Recording or sharing the lesson outside the Platform’s tools without the other party’s consent is prohibited.

8. Prices, currencies and fees

Prices are shown in złoty (PLN) or euro (EUR) depending on settings. Prices are VAT-exempt: language teaching is exempt under art. 43(1)(28) of the Polish VAT Act. A platform service fee applies to lesson prices, shown as a separate line at payment.

Locked rate: a Teacher’s rate for a Student is locked at the first lesson and stays frozen; if the Teacher raises the public price the Student keeps paying their rate until they accept any new proposal. A new rate proposed by the Teacher applies only if the Student accepts it.

9. Payments

Payments are handled by Stripe; NuovaLingua does not store full card details. By subscribing you authorise recurring charges at the end of each cycle until cancellation. If a payment fails, the service may stay active for a short grace period during which we invite you to fix it; after the grace period access may be suspended or downgraded to Base. Teachers are paid via Stripe Connect and must complete Stripe’s required verification to receive payments.

10. Right of withdrawal (EU consumers)

As a consumer you generally have the right to withdraw within 14 days of concluding a distance contract, without reason. When you ask the service (content, AI features, booking and delivery of a lesson) to start before the 14 days end, you acknowledge and accept that, once performance has begun with your consent, you lose the right of withdrawal for the part already performed, under EU and Polish law on digital content and services. This consent is requested explicitly at purchase. Where the right applies you may exercise it by writing to patryk.lewczuk@nuovalingua.com.

11. Refunds

Except as provided in section 10 and by mandatory consumer-protection law, NuovaLingua does not refund subscriptions and Credits, including expired Credits (section 6) and subscription periods already started. Nothing in these Terms excludes or limits your statutory rights as a consumer where the service is non-conforming or not delivered.

12. Cancellation, suspension and account closure

You may cancel subscriptions and close your account at any time in settings or by contacting us; effects on subscriptions and Credits follow sections 5, 6 and 11. We may suspend or close an account for breach of these Terms, fraudulent use, non-payment or conduct that harms other Users or the Platform.

13. Teachers’ obligations

The Teacher declares they are qualified to deliver lessons and undertakes to respect their published availability, punctuality and teaching quality, and to meet their own tax obligations on the fees received. They are responsible for the accuracy of their profile and published rates.

14. Acceptable use

You must not: use the Platform for unlawful purposes; harass or offend other Users; circumvent the payment systems (e.g. arranging off-Platform payments); copy, redistribute or resell the content; attempt to access unauthorised areas or data; upload unlawful or harmful content; use the AI features to generate content prohibited by law.

15. Intellectual property

The Platform’s content (cards, readings, exercises, software, trademark, graphics) belongs to NuovaLingua or its licensors. We grant you a personal, non-exclusive, non-transferable licence to use it for your learning for the duration of your subscription; you may not reproduce, distribute or commercially exploit it without permission. Materials you create (notes, vocabulary, reviews) remain yours, with a limited licence for us to host and show them within the service.

16. Artificial intelligence features

The AI features (conversational assistant, lesson analysis, material generation) produce automated results that may contain errors or inaccuracies and are meant to support learning: they are not professional advice. Please do not enter unnecessary sensitive or confidential personal data into the AI features.

17. Liability

To the extent permitted by law, NuovaLingua is not liable for indirect or unforeseeable damages nor for individual Teachers’ conduct beyond what these Terms provide. The Platform is provided with reasonable technical care; we do not guarantee uninterrupted, error-free operation. Nothing limits our liability where the law does not allow it (e.g. wilful misconduct, gross negligence, personal injury).

18. Complaints

You can file a complaint by writing to patryk.lewczuk@nuovalingua.com, describing the problem and your account details. We will reply within 14 days.

19. Dispute resolution and governing law

These Terms are governed by Polish law, without prejudice to the mandatory consumer-protection rules of your country of residence in the EU. The European Commission provides an ODR platform: https://ec.europa.eu/consumers/odr. Consumers may also use the out-of-court dispute resolution options available in Poland (e.g. Inspekcja Handlowa, Rzecznik Konsumentów). Nothing limits a consumer’s right to bring a claim before the courts of their own jurisdiction under applicable mandatory rules.

20. Changes to the Terms and prices

We may update these Terms and prices. Material changes and subscription price changes will be communicated with reasonable notice (e.g. by email) before they take effect; if you do not accept them you may cancel before they apply. Continued use after they take effect constitutes acceptance.
